Service agreement

Who this is for. This agreement is between TeamNa and a business that runs its classes, sessions or memberships on TeamNa. If you are a member or a parent booking with one of those businesses, the terms of use and the privacy notice are the documents that apply to you.
1. The parties, and how you accept this
"TeamNa", "we" and "us" mean the operator of teamna.app and the TeamNa apps. The contracting entity behind TeamNa will be confirmed on this page before the public launch, and we will tell every business on the platform when that happens.
"You" and "the business" mean the activity business, its owner, and anyone the owner gives a staff account to. You accept this agreement when you create a club on TeamNa, when someone with authority to bind the business accepts it during onboarding, or when you carry on using TeamNa after we have told you it applies. Whoever accepts it confirms they are allowed to do so on the business's behalf.
Where this agreement and the terms of use say different things about the business, this agreement wins.
2. What the service is
TeamNa is software for running classes and sessions. For the business it provides a timetable and class types, weekly templates that turn into sessions, a register, a policy engine that applies your cancellation and reschedule rules, packages and credits, recurring fees, card payments through a licensed payment provider, messaging with your members, and announcements to all of them at once. For your members it provides a mobile app and a web app to see their schedule, book, reschedule, cancel, pay and message you.
TeamNa does not run classes, employ instructors, supervise anyone, or hold your members' money. You remain responsible for what happens at a session, and your members' contract for the classes is with you, not with us.
3. Your account and your staff
- The owner account controls the business: policy, pricing, staff, exports, and closing the club. Keep the phone and number behind it secure.
- You can give staff their own accounts. Whatever a staff account does inside your business is your responsibility, and you should remove access the day someone leaves.
- Tell us straight away if you think an account has been compromised. We can suspend it while you sort it out.
4. Fees
TeamNa charges a platform fee as a percentage of each payment processed through the app. The percentage is shown in your club settings and agreed with you before it applies. The payment provider's own processing charges are separate and are shown at the point of payout. There is no subscription fee during the pilot; if we introduce one we will give you at least 30 days' notice and you can leave before it starts.
Fees are in UAE dirhams, exclusive of VAT, and are deducted from each payment before it is paid out to you. Where UAE VAT applies to our fee we add it and issue a tax invoice.
Payments you take outside TeamNa (cash, bank transfer, a card machine at reception) carry no platform fee. You can record them in TeamNa so the register stays right.
5. Payments, payouts and refunds
- Card payments are collected by a licensed payment provider, paid out to a bank account in the business's name, and never held by TeamNa. The provider will ask you for identity and business documents before the first payout. Until they are satisfied, card payments stay switched off for your club.
- Refunds are your decision. You set the policy and approve each refund; TeamNa carries it out through the provider. We will not refund on your behalf and we will not overrule you.
- Chargebacks and disputes raised by your members are yours to answer, and the provider may deduct them from your payouts. We give you the booking, policy and message history so you can respond with facts.
6. Your members' data
You decide which people join your club and what you ask of them, so for the purposes of data protection law you are the controller of your members' personal data and TeamNa processes it on your instructions. Those instructions are this agreement, the settings you choose in the app, and the ordinary operation of the service.
We will:
- use your members' data only to run TeamNa for you, and never to market to them, sell it, or build anything unrelated to your club;
- keep it on servers in the European Union (Frankfurt), encrypted in transit and at rest, with access limited to the people who operate the service;
- use only the sub-processors listed in the privacy notice (hosting, database, sign-in, payments, push and WhatsApp delivery), and update that list before a new one starts handling member data;
- tell you without undue delay, and within 72 hours of confirming it, if we become aware of a breach affecting your members' data, with what we know and what we are doing about it;
- help you answer a member who asks what we hold about them, or asks for it to be corrected or deleted;
- give you an export of your club's data at any time, and delete it as described in section 13 when this agreement ends.
You will:
- have the right to enter every member's details, including a child's name and date of birth entered on a parent's behalf, and tell your members that TeamNa handles their data for you;
- ask for only the information you need to run your classes;
- keep your staff's access to member data to what their role needs, and not export member lists to use them for anything outside your club.
Children do not hold TeamNa accounts. A parent or guardian holds the account and adds the child. You must not create an account for a child or invite a child directly.
7. Messaging and announcements
TeamNa gives you a private thread with each member and an announcement channel that reaches every active member. Use them for your club: schedule changes, reminders, a question about a session. Do not use them to promote other businesses, to send anything a member has not asked for and would not expect from their club, or to contact people who have left. Announcements cannot be replied to, so tell members how to reach you when it matters.
We do not read your messages as a matter of course. We will look at them when a member or you report a problem, when the law requires it, or to investigate abuse of the service.
8. What you are responsible for
- Publishing a schedule and a policy that are accurate, and honouring what the app told a member before they confirmed.
- The lawfulness and safety of your classes, any licences and insurance your activity needs, and the qualifications of the people who deliver it.
- Your own tax, accounting and record keeping on the money you collect.
- Answering your members. TeamNa is the channel; the relationship is yours.
- Not trying to reach another business's data, probing or overloading the service, or working around its limits.
9. Availability and support
We aim for the service to be available 99.5% of each calendar month, measured at the API, excluding maintenance we have announced at least 24 hours ahead. During the pilot that is a target we manage to, not a promise backed by credits. When something breaks we tell pilot businesses what happened and what changed, and the status page shows the current state.
Support is by email at [email protected], and for pilot businesses by the direct channel you already have with us. We answer on UAE working days and treat anything that stops a class running as urgent.
We take daily backups of the database. They exist so we can recover the service, not as your only copy of your records; export what you cannot afford to lose.
10. Who owns what
TeamNa owns the platform, the apps, the design and everything we build. You own your club's name, content, schedule, policy and member data, and you give us the permission we need to store, display and process them to run the service for you. Feedback you give us about the product may be used without obligation to you. Neither side uses the other's name or logo in public without permission, except that we may list your club as a TeamNa customer once you have gone live, and you can ask us to stop.
11. Confidentiality
Each side keeps the other's non-public information confidential and uses it only for this agreement: for you, that includes our pricing, roadmap and anything we share about the product before it ships; for us, it includes your member data, your pricing and your numbers. The duty survives the end of the agreement and does not cover information that is public, already known, or that the law requires to be disclosed.
12. Liability
To the extent the law allows, TeamNa is not liable for lost revenue, lost bookings, lost data or any indirect loss arising from the service, and our total liability to you under this agreement is limited to the platform fees we have collected from your club in the three months before the claim. Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law says cannot be limited.
You are responsible for claims that arise from your classes, your policy decisions, your staff, and the content you put in the app, and you will cover us against those claims.
13. Term and ending it
- This agreement starts when you accept it and continues until either side ends it. Either side can end it for any reason with 30 days' written notice. Email counts as writing.
- We can suspend or end it immediately if the business breaks this agreement in a way that puts members or their data at risk, uses the service unlawfully, or has not paid what it owes after a reminder. Except in an emergency, we tell you why first.
- When it ends: your members keep their own TeamNa accounts, because they may belong to other clubs. Your club stops accepting bookings and payments on the end date. You can export your club's data for 30 days after that, and we delete it within 90 days of the end date, except what the law or the payment provider requires us to keep.
- Fees already earned, sections 6, 10, 11 and 12, and this section survive the end.
14. Changes to this agreement
We will update the version and date at the top when this agreement changes and email the owner of every club at least 30 days before a change that reduces what you get or increases what you pay. Carrying on using TeamNa after that date means the business accepts the new version. If you do not, end the agreement before it takes effect and we will not hold you to the notice period.
15. General
This agreement, the privacy notice and the terms of use are the whole agreement between us about TeamNa. Neither side may assign it without the other's consent, except that we may assign it to the contracting entity named under section 1 or to a successor to the business of TeamNa. If a court finds part of it unenforceable, the rest stands. Neither side is liable for delay caused by events outside its reasonable control.
16. Law
This agreement is governed by the federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction over any dispute, after the two sides have tried in good faith to resolve it between themselves for 30 days.
17. Getting hold of us
Email [email protected]. Notices to the business go to the owner's mobile number and to the email address on the club account, so keep both current.
